William Ruffa, Jr. provides legal and business advice to growth companies from startup through exit. His practice encompasses corporate transactions, capital formation and securities matters. In the context of his securities practice, Mr. Ruffa counsels clients in public and private equity and debt securities offerings, exchange offers, capital raising transactions and securities law disclosure and compliance. He has extensive experience representing clients in connection with the registration of securities under the Securities Act and Securities Exchange Act. Mr. Ruffa’s corporate practice spans the spectrum from entity selection, to developing and implementing equity compensation plans, and negotiating and drafting software contracts, licensing agreements and sales of goods. He also advises clients in mergers and acquisitions and joint venture transactions. An important component of Mr. Ruffa's practice involves representing entrepreneurs and companies in the capital formation process--from seed round through initial public offering. He plays an important role in consulting start-ups with exploring their financing alternatives and strategic corporate relationships as well as relationships with key employees. Mr. Ruffa possesses strong project management skills and takes pride in his ability to manage and complete complex projects and transactions from genesis to consummation.

He derived enjoyment from problem-solving in the context of finance, tax and operations. Mr. Ruffa  represented business entities in all stages of their life cycle from start up through public and private company exit. He has represented companies with ground breaking technologies and participated in structuring novel transactions across international borders.  He has lectured extensively in the U.S., Europe and Asia regarding taxation  and securities.
